Terms of Use

Last updated November 3, 2026 · Synlayer LLC
Draft for legal review. Bracketed items are to be completed before publication.
Decision support. The decision is yours. Cense and Grovera are clinical decision support for licensed clinicians. They do not diagnose, treat or replace your clinical judgment. Do not use them in an emergency, and do not make decisions without independently reviewing their sources.

1. Agreement

These Terms of Use ("Terms") are an agreement between you and Synlayer LLC, a Wyoming limited liability company ("Synlayer," "we," "us"), and govern your use of the synlayer website and the Cense and Grovera apps and related services (the "Service"). By creating an account, requesting access or using the Service, you agree to these Terms and acknowledge our Privacy Policy. If you use the Service through an institution that has a separate agreement with us, that agreement controls where it conflicts with these Terms.

2. Who may use the Service

The Service is for physicians and other healthcare professionals who hold a current license to practice, are at least 18 years old and are not barred from using it under applicable law. You confirm that the license information you give us is accurate and yours, and you will tell us promptly if your license is suspended, restricted or revoked. We may verify your license at any time and may refuse or end access if we cannot. The clinician products are not for patients or the general public. Grovera Family, when it launches, will have its own terms.

3. Clinical decision support, not medical advice

Cense returns ranked options with the evidence behind each, suggested tests and referral information. Grovera returns evidence grades for interventions, measures to track and, once outcome data are added, measurement results. These outputs are informational aids for a qualified professional. They are not a diagnosis, a treatment recommendation or a substitute for examination, specialist consultation or your own judgment. Neither product provides drug doses. Cense does not provide treatment plans, and Grovera does not set hours of intervention or instruct anyone to stop one.

Outputs depend on the information you provide and on the scope of our knowledge packs. They may be incomplete, out of date or wrong, and a condition or intervention you are considering may not be covered. You are solely responsible for the care you provide and for independently reviewing the cited sources before relying on any output. You must not present an output to a patient as a diagnosis.

4. Your case content

You are responsible for the case content you submit. You confirm that you have the right to submit it and that doing so complies with your legal, professional and institutional obligations. Unless your institution has signed a Business Associate Agreement with us that covers your use, you must remove all direct patient identifiers before you submit a case, and you must not submit protected health information. Our identifier screening is a safeguard, not a substitute for your own de-identification.

5. Your account

Your account is personal. Keep your credentials secure, do not share them, and tell us at once at [security email] if you suspect unauthorized use. You are responsible for activity under your account.

6. Acceptable use

You will not:

  • use the Service for anyone other than patients under your care or cases you are legitimately consulting on;
  • use the Service for insurance underwriting, employment screening or any purpose that could disadvantage a patient;
  • use Grovera output as the sole basis for denying, limiting or ending a child's access to care;
  • attempt to re-identify any patient or person from case content, shared cases or outputs;
  • copy, scrape or extract knowledge packs, outputs or the evidence library in bulk, or use them to build a competing product or train a model;
  • reverse engineer, probe, disrupt or bypass the security or rate limits of the Service, except as permitted by law;
  • upload malicious code, or use the Service in violation of any law, including export control and sanctions laws.

7. Ownership and licenses

Synlayer and its licensors own the Service, including the software, knowledge packs, evaluation sets and the synlayer, Cense and Grovera names and marks. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service and its outputs for your clinical work, subject to these Terms.

You keep any rights you have in your case content. You grant us a worldwide license to host, process and transmit it to provide the Service, and to use it in de-identified form to evaluate and improve the Service, as described in our Privacy Policy. If you send us feedback, we may use it without obligation to you.

8. Sources and sponsorship

Outputs cite guidelines and peer-reviewed literature that belong to their publishers. A citation is not an endorsement by the source, and access to the full source may be subject to the publisher's terms. Some programs are co-funded by pharmaceutical medical-affairs teams. Sponsors have no role in clinical content, which is reviewed by independent specialists and never names a commercial product; sponsorship is disclosed in the app.

9. Early access and changes

The clinician editions are free. Early-access and pilot features may be incomplete and may change or be withdrawn. We may update, add or remove features, disease coverage and supported regions at any time, and we will give reasonable notice of changes that materially reduce the Service.

10. Disclaimers

To the fullest extent permitted by law, the Service and all outputs are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, completeness and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that any output is correct or suitable for any patient.

11. Limitation of liability

To the fullest extent permitted by law, Synlayer will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of data, profits or goodwill, arising from or related to the Service or any clinical decision, even if advised of the possibility. Synlayer's total liability for all claims relating to the Service will not exceed the greater of the amounts you paid us in the 12 months before the claim or one hundred U.S. dollars (US$100). Some jurisdictions do not allow these limits, so they may not apply to you in full.

12. Indemnity

You will defend and indemnify Synlayer and its members, managers and staff against third-party claims arising from your case content, your clinical decisions or your breach of these Terms or applicable law.

13. Suspension and termination

You may stop using the Service and close your account at any time. We may suspend or end your access if you breach these Terms, if we cannot verify your license, or if needed to protect patients, users or the Service. Sections 3, 4, 7, 8 and 10 to 15 survive termination.

14. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws rules. Any dispute will be brought exclusively in the state or federal courts located in [Laramie County], Wyoming, and you and Synlayer consent to their jurisdiction. Before filing a claim, each party will try in good faith to resolve the dispute informally for 30 days after written notice. If you are a consumer in a country whose law gives you the right to bring claims in your home courts, nothing here removes that right.

15. General

These Terms, with the Privacy Policy and any institutional agreement, are the entire agreement between you and Synlayer about the Service. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. We may update these Terms by posting a new version here; material changes take effect 30 days after notice, and continued use after that means you accept them.
